Ad hoc: Andritz AG and Rheinhold & Mahla form joint venture to provide maintenance service to the pulp, paper, and panelboard industries

Graz/Munich, 7 June 2004. International technology group Andritz and
Rheinhold & Mahla AG, one of the leading providers of industrial
services in Europe, signed an agreement to form a 50:50 joint venture
company to provide a broad range of industrial maintenance services
and long-term maintenance concepts for pulp, paper, and MDF (Medium
Density Fibreboard) mills in Europe. The new company is to be called
European Mill Service GmbH (EMS).

"The formation of EMS is in response to customer inquiries regarding
outsourcing of daily maintenance activities. Mills want to improve
the availability of their production equipment while focusing more on
their core processes," Wolfgang Leitner, CEO of Andritz and Thomas
Töpfer, Member of the Managing Board of Rheinhold & Mahla AG say.
EMS will combine the process and equipment knowledge of Andritz with
Rheinhold & Mahla's experience in industrial services, the
implementation of flexible maintenance concepts, and in the offering
of full-service outsourcing models.

EMS will offer long-term maintenance and service contracts based upon
Key Performance Indicators that are considered most important to each
customer facility (e.g. production, availability, safety, efficiency,
etc.). Depending on the scope of the service contract, significant
economic savings can be obtained for the facility. EMS will provide
services for all mill areas - mechanical, electrical &
instrumentation, process control, materials handling (parts,
consumables) and subcontracting.

EMS will assume responsibility for maintenance management for a
production area within a mill or a complete mill. Both Andritz and
Rheinhold & Mahla will blend their self-developed optimization
concepts, (OPE® for Andritz and RKM® for Rheinhold & Mahla) which
together will increase overall production efficiency and reduce
maintenance costs. While the OPE® (Overall Production Efficiency)
concept targets the optimization of production processes, RKM®
(Regionales Kooperationsmanagement - Regional Cooperation Management)
creates additional cost advantages for maintenance by using compound
resources. Andritz and Rheinhold & Mahla have successfully
implemented OPE® and RKM® service contracts with various customers.
In close cooperation with mill engineering, maintenance, and
production personnel, higher productivity, safety, and reliability of
equipment were achieved.

EMS will focus its business activities exclusively on daily
maintenance and service activities of pulp, paper and MDF mills.
Andritz and Rheinhold & Mahla will continue to offer independently
their products and services, such as the supply of machines, plants,
spare parts, wear parts, process optimizations, erection, industrial
insulation and ship insulation/outfitting.
